Effective Date: January 1st, 2025

This Agreement is between Quality XP Development Software Engineering Services S.A. (“Licensor”) and the individual or entity (“Licensee”) using the Invoice Pickup Tracker software (“App”). By using the App, you agree to these terms.

1. License Grant

1.1 Non-Exclusive License: Licensor grants Licensee a non-exclusive, non-transferable license to use the App, subject to compliance with:

• This EULA,

• Intuit’s QuickBooks® API License Agreement, and

• Applicable laws.

1.2 QuickBooks® Integration: The App integrates with Intuit QuickBooks® API to sync, track, and manage invoice data from QuickBooks®.

2. Restrictions

Licensee agrees NOT to:

• Reverse engineer, decompile, or modify the App or QuickBooks® API.

• Use the App for illegal activities, data scraping, or unauthorized access to QuickBooks®.

• Resell, sublicense, or lease access to the App.

• Violate Intuit’s terms (QuickBooks® API License Agreement).

3. Data Usage & Privacy

3.1 Data Access: The App accesses the following QuickBooks® data: invoices, payment records, customer/vendor details, and transaction history.
3.2 Storage: Data is processed in real time and not stored.
3.3 Third Parties: We do not share data with third parties except for payment processing and customer support.
3.4 Security: We use SSL encryption, access controls, and regular security audits to protect data.

4. Disclaimers

4.1 No Affiliation:
“Invoice Pickup Tracker is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks® is a registered trademark of Intuit Inc.”

4.2 As-Is Service:
THE APP IS PROVIDED “AS IS.” LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR API UPTIME.

4.3 Third-Party Liability:
LICENSOR IS NOT RESPONSIBLE FOR:

• DATA LOSS, ERRORS, OR DOWNTIME CAUSED BY INTUIT’S API.

• MISUSE OF QUICKBOOKS® DATA BY LICENSEE OR THIRD PARTIES.

5. Liability Limitations

LICENSOR’S MAXIMUM LIABILITY FOR ANY CLAIM RELATED TO THIS EULA IS LIMITED TO THE FEES PAID BY LICENSEE IN THE PRIOR 12 MONTHS. IN NO EVENT WILL LICENSOR BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (E.G., LOST PROFITS).

6. Termination

6.1 Licensor may terminate this Agreement if Licensee:

• Breaches this EULA or Intuit’s API terms.

• Engages in fraudulent or abusive API usage.

6.2 Post-Termination: Licensee’s access to the App and QuickBooks® data will be revoked. Data stored on our servers will be deleted within 30 days.

7. Governing Law

This EULA is governed by the laws of Costa Rica. Disputes will be resolved in the competent courts of Costa Rica.

8. Updates to This EULA

Licensor may update this EULA by posting a revised version at https://qxdev.com/eula-intuit-related-products/ or notifying users via email. Continued use constitutes acceptance.
